Program License Agreement

PARTY A:  China Translation Partners, LLC

PARTY B:  Globe Animation, Inc. 

RE: Package of Specific Titles

This will acknowledge and confirm the terms pursuant to which Globe Animation, Inc.

(Party B) has agreed to license to China Translation Partners (CTP) (Party A), an initial Package of Specific Titles (Appendix

“A”) for exhibition over CTP’s broadcast territory and media platforms. The initial Package shall be supplemented from

time to time based on mutual agreement of the parties. The content shall be the most recent on a rolling basis and include 3D

and Magnus Opuses to the maximum extent possible. Both individual films and series will be included.

The initial Package shall include ten (10) films and or series in the first 30 days after contract execution. To the maximum

extent possible this will include the most recent   3D, Magnus Opuses, and high quality programs considering international

audiences. After 6 months from the first content airing, the parties will agree on the number of additional programs to be

provided based on factors including revenue generation, market reception, and branding opportunities for Globe Animation.

To the maximum extent possible, individual properties shall not have been previously exhibited in North America. 

In addition, Party B shall provide Animation/Cartoon films for movie theater exhibition on a case by case basis. For this

purpose an amendment to this Agreement will be necessary.

If any such properties provided to Party A have been shown in movie threaters or through other distribution outlets ex-China

especially on New Media platforms, Party B will provide such annotation in Appendix A.

This Agreement is consistent with and in accordance with the ‘Memorandum of Intent’ dated October 24, 2007 between the

parties for project by project agreements.

以“合同套餐”的形式约定项目：

在合同生效后30天内提供10部或系列动画片作为最初的“合同套餐”，最大程度的考虑国际观众的情况，大部分为近期的3D作品、大片和高质

量节目。在节目首次播出后的6个月内，结合前期节目的综合收入、市场反馈和全球动画品牌影响力等情况，双方将考虑增加播出节目的数量。

任何一方应最大程度的保证相关节目之前未在北美地区播出过。

另外，乙方通过从单个项目约定的方式应提供适合在电影院播出的动画片内容。在本协议中补充此点相当的必要。

如果乙方提供的动画片内容之前已经在电影院或其它中国大陆以外渠道，特别是新媒体平台上播出或发行过，乙方应在附件A中明确注明。

本协议内容和原则2007年10月24日双方签定的项目合作“意向备忘录”保持一致。
